Job Summary:

Supermicro is seeking an experienced Senior Legal Counsel to advise the organization on the legal, regulatory, contracting, and compliance matters associated with providing technology products and services to U.S. federal government agencies.

This role will serve as a strategic legal partner to business, technology, sales, contracts, cybersecurity, finance, and executive leadership teams. The Senior Legal Counsel will provide practical guidance across the federal acquisition lifecycle—from opportunity development and solicitation responses through contract negotiation, performance, modifications, renewals, and closeout.

The ideal candidate combines strong commercial judgment with substantial knowledge of federal procurement and government contracts, technology transactions, cybersecurity and data issues, and the regulatory environment applicable to federal technology vendors.

Essential Duties and Responsibilities:

Federal Government Contracting

• Advise business and contracts teams regarding federal acquisition laws, regulations, policies, and contracting practices, including the Federal Acquisition Regulation (FAR) and applicable agency-specific supplements.
• Draft, review, and negotiate federal government contracts, subcontracts, teaming agreements, reseller arrangements, licensing agreements, statements of work, modifications, and related commercial agreements.
• Advise on solicitations, requests for proposals, task orders, contract vehicles, procurement strategies, and other federal acquisition opportunities.
• Support proposal development and identify legal, contractual, regulatory, intellectual-property, security, and performance risks before submission.
• Advise on contract interpretation, scope, pricing and payment provisions, intellectual property rights, data rights, warranties, indemnification, limitations of liability, termination, disputes, and other government contracting provisions.

Technology Transactions

• Advise on the sale, licensing, implementation, hosting, and support of software, SaaS, cloud, AI, cybersecurity, data, and other technology solutions to federal agencies.
• Develop and negotiate technology licensing, software-as-a-service, professional services, data-use, implementation, maintenance, and support agreements.
• Advise on intellectual property ownership, licensing, government-use rights, technical data, software rights, and other government-specific IP considerations.
• Partner with product and engineering teams to structure offerings in a manner consistent with federal contracting requirements and customer commitments.

Cybersecurity, Privacy & Data

• Advise on federal cybersecurity, privacy, information-security, and data-management requirements applicable to technology products and services.
• Support compliance with contractual security requirements and federal frameworks applicable to the organization's offerings and customer environments.
• Advise on data ownership, access, use, retention, disclosure, incident response, breach notification, and government data-handling requirements.
• Partner with information security and compliance teams on contractual representations, security questionnaires, audits, assessments, and customer requirements.

Regulatory & Compliance

• Monitor and advise leadership regarding developments in federal procurement laws, regulations, executive-branch requirements, agency policies, and technology-related regulatory requirements.
• Advise on government ethics, organizational conflicts of interest, procurement integrity, representations and certifications, suspension/debarment considerations, and other government-contracting compliance matters.
• Support internal compliance programs and develop practical policies, procedures, training, and controls appropriate for a federal technology provider.
• Identify emerging legal and regulatory risks associated with new products, markets, technologies, and federal customer requirements.

Strategic Business Counsel

• Translate complex federal contracting requirements into practical business guidance.
• Establish scalable contracting processes, playbooks, templates, approval frameworks, and risk-management procedures.
• Help business teams structure transactions that achieve commercial objectives while appropriately managing legal and regulatory risk.
• Coordinate with outside counsel when specialized expertise or additional resources are required.

Qualifications:

• Juris Doctor (J.D.) from an accredited law school.
• Active license to practice law in at least one U.S. jurisdiction.
• 8+ years of relevant legal experience, including significant experience with U.S. federal government contracting.
• Demonstrated experience negotiating and interpreting federal government contracts and technology-related agreements.
• Strong working knowledge of the FAR and federal acquisition processes.
• Experience advising technology companies or organizations that sell software, SaaS, cloud, cybersecurity, data, or other technology solutions to federal agencies.
• Excellent drafting, negotiation, issue-spotting, and analytical skills.
• Ability to communicate complex legal requirements clearly to non-lawyers and senior executives.
• Strong business judgment and ability to balance legal risk with commercial objectives.

Preferred

• Experience with federal technology procurement and major federal contract vehicles.
• Experience with FAR/DFARS, agency supplements, and federal data/IP rights.
• Experience with cybersecurity and federal information-security requirements.
• Familiarity with federal cloud, SaaS, AI, software, or emerging-technology procurement.
• Experience with government audits, investigations, claims, disputes, or contract compliance matters.
• Experience working with federal contracting officers and agency procurement organizations.
• Prior experience at a federal technology contractor, government contractor, systems integrator, SaaS company, or federal agency.
• Active or previously held U.S. government security clearance.

Salary Range

$201,000 - $217,000 

The salary offered will depend on several factors, including your location, level, education, training, specific skills, years of experience, and comparison to other employees already in this role. In addition to a comprehensive benefits package, candidates may be eligible for other forms of compensation, such as participation in bonus and equity award programs.
